P&P Group Terms and Conditions for Printing and Binding Machinery Services

1. Definitions

• Company: Refers to P&P Group.
• Customer: Any individual, company, or entity purchasing services from P&P Group.
• Services: Refers to the provision of printing and binding machinery services, including repair, maintenance, installation, and training, as well as any related consultation.

2. Agreement By engaging with P&P Group for printing and binding machinery services, the Customer agrees to comply with these Terms and Conditions.

3. Quotations and Orders

• Quotations provided by P&P Group are valid for 30 days unless stated otherwise.
• All orders must be confirmed in writing. A binding contract is formed once the order is accepted by P&P Group.
• The Company reserves the right to adjust pricing based on the scope of services requested, materials used, or any unforeseen changes in service requirements.

4. Pricing and Payment Terms

• Prices for services will be as stated in the order confirmation.
• Payment terms are 10 days net from the invoice date.
• Late payments may incur interest charges at the rate of 5%, calculated on a daily basis.
• The Customer is responsible for all applicable taxes, unless otherwise agreed.

5. Delivery and Performance

• P&P Group will make reasonable efforts to meet delivery dates but does not guarantee them. (Delivery charges Extra)
• The Customer acknowledges that certain services may take longer than anticipated due to unforeseen issues with machinery, parts availability, or other external factors.
• If the Customer delays service (e.g., delays in providing access to equipment), P&P Group reserves the right to adjust the timeline and costs accordingly.

6. Installation and Maintenance Services

• All installation and maintenance services will be carried out during standard business hours unless otherwise agreed. (Installation charges Extra)
• P&P Group is not responsible for any disruptions caused by the Customer’s failure to properly prepare the installation site or failure to provide accurate specifications.

7. Warranty

• P&P Group does not provide a warranty for used machinery services
• P&P Group provides a service for used machinery services with a fee

8. Limitation of Liability

• P&P Group’s liability is limited to the value of the contract and does not cover any consequential, indirect, or incidental damages, including loss of business or profits.
• The Company shall not be liable for delays caused by events beyond its control, such as equipment failures, transportation delays, or acts of nature.

9. Cancellation and Termination

• The Customer may cancel services by providing written notice at least 5 business days before the scheduled service date.
• Cancellations after the notice period may be subject to a cancellation fee of 100$.
• P&P Group reserves the right to terminate services if the Customer breaches any part of these Terms and Conditions or if payment is not received according to the agreed terms.

10. Customer Responsibilities

• The Customer must provide accurate information regarding the machinery, access to the site, and other service-related specifics.
• The Customer is responsible for ensuring that machinery is accessible and operable for the provision of services.
• P&P Group is not responsible for any damage to machinery resulting from the Customer’s failure to comply with operating instructions, misuse, or improper maintenance outside the scope of P&P’s services.

11. Intellectual Property

• All service materials, manuals, and processes provided by P&P Group remain the intellectual property of the Company and may not be reproduced, distributed, or used by the Customer for any other purpose without written consent.

12. Confidentiality

• P&P Group and the Customer agree to maintain the confidentiality of any proprietary information exchanged during the course of services, except as required by law or with written consent.

13. Governing Law and Dispute Resolution

• These Terms and Conditions shall be governed by and construed in accordance with the laws of UAE & INDIA.
• Any disputes arising out of or related to these Terms and Conditions shall be resolved through court litigation.

14. Amendments

• P&P Group reserves the right to amend these Terms and Conditions at any time. Customers will be notified of any significant changes before they take effect.

15. Force Majeure

• P&P Group shall not be held liable for any failure to perform due to unforeseen circumstances such as natural disasters, pandemics, strikes, supply chain disruptions, or other events beyond its control.
